1. Acceptance of Terms

By accessing or using the services provided by Penumbra Holdings Inc ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Penumbra Holdings Inc ("we," "us," "our") from San Francisco, California.

2. Description of Service

Penumbra Holdings Inc operates a web-based AI assistant that connects to third-party applications and services through the Model Context Protocol (MCP). Users authenticate with their phone number via SMS verification, connect their third-party accounts through secure OAuth authentication, and interact with those services through a conversational chat interface.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

4. Account Registration and Phone Verification

To use our Service, you must provide a valid phone number. We use SMS-based one-time verification codes to authenticate your identity. By providing your phone number and completing the sign-in process, you agree to the following:

• You consent to receive SMS messages from Penumbra Holdings Inc containing one-time verification codes for account authentication.
• These verification codes are the only type of SMS message Penumbra Holdings Inc sends. We do not send marketing messages, promotional texts, alerts, or any other type of SMS communication.
• Message frequency: One (1) SMS message per sign-in attempt.
• Message and data rates may apply depending on your mobile carrier and plan.
• You may opt out of SMS messages at any time by replying STOP to any message from Penumbra Holdings, or by contacting us at support@penumbraholdings.com. If you opt out of SMS, you will not be able to sign in to the Service, as phone verification is required for authentication.
• For help, reply HELP to any message from Penumbra Holdings, or contact support@penumbraholdings.com.
• Penumbra Holdings Inc does not sell, rent, loan, trade, or share your phone number with any third parties for marketing or any other purpose.

5. SMS Opt-In and Consent

Your consent to receive SMS verification codes from Penumbra Holdings Inc is obtained through our web-based sign-in form. When you enter your phone number on our website or application and check the consent checkbox, you are expressly opting in to receive a one-time SMS verification code. This opt-in is:

• Voluntary: You choose to provide your phone number and check the consent box.
• Specific: You consent only to receive one-time verification codes for sign-in, nothing else.
• Informed: The consent language is displayed on the sign-in form alongside links to these Terms of Service and our Privacy Policy before you submit your phone number.
• Revocable: You may withdraw consent at any time by replying STOP or contacting support@penumbraholdings.com.

6. Third-Party Integrations

Our Service connects to third-party services on your behalf using OAuth authentication. When you connect a third-party account:

• You authorize Penumbra Holdings Inc to access and interact with that service on your behalf within the scope of permissions you grant.
• You are responsible for reviewing and understanding the permissions requested during the OAuth flow.
• You may disconnect any third-party service at any time through your account settings.
• Penumbra Holdings Inc is not responsible for the availability, accuracy, or actions of third-party services.

7. User Responsibilities

You agree to:

• Provide accurate information, including a valid phone number you own or are authorized to use.
• Use the Service only for lawful purposes.
• Not attempt to disrupt, overload, or interfere with the Service.
• Not use the Service to violate the terms of any third-party service you connect.

8. Intellectual Property

The Service, including its design, code, and content, is owned by Penumbra Holdings Inc. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that any third-party integrations will function as expected.

10. Limitation of Liability

To the maximum extent permitted by law, Penumbra Holdings Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including any actions taken by third-party services on your behalf.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. You may stop using the Service at any time.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
